These terms and conditions outline the rules and regulations for the use of Digital Industria Ltd's applications and related services (“Digital Industria Apps” or the “Services”), including apps and services made available on Google platforms (including Android and Google Play), Apple platforms (including iOS, iPadOS, and the App Store), the web (including https://digitalindustria.com), and on servers or other backend infrastructure that support those apps and services.

By accessing or using the Services, we assume you accept these terms and conditions. Do not continue to use Digital Industria Apps if you do not agree to take all of the terms and conditions stated on this page.

Cookies and similar technologies

The Services may use cookies, SDKs, local storage, device identifiers, and similar technologies to help personalize your experience and operate the Services. By accessing Digital Industria Apps, you agree to use of the required cookies and similar technologies needed for the Services to function.

All intellectual property rights are reserved. You may access and use Digital Industria Apps for your own personal use subjected to restrictions set in these terms and conditions and any applicable app store or platform terms.

You must not:

• Copy or republish material from Digital Industria Apps
• Sell, rent, or sub-license material from Digital Industria Apps
• Reproduce, duplicate or copy material from Digital Industria Apps
• Redistribute content from Digital Industria Apps

This Agreement shall begin on the date hereof.

Parts of the Services may offer users an opportunity to post and exchange opinions and information in certain areas of an app, website, or related service. Digital Industria Ltd does not filter, edit, publish or review Comments before their presence in the Services. Comments do not reflect the views and opinions of Digital Industria Ltd, its agents, and/or affiliates. Comments reflect the views and opinions of the person who posts their views and opinions. To the extent permitted by applicable laws, Digital Industria Ltd shall not be liable for the Comments or any liability, damages, or expenses caused and/or suffered as a result of any use of and/or posting of and/or appearance of the Comments in the Services.

Digital Industria Ltd reserves the right to monitor all Comments and remove any Comments that can be considered inappropriate, offensive, or causes breach of these Terms and Conditions.

You warrant and represent that:

• You are entitled to post the Comments in the Services and have all necessary licenses and consents to do so;
• The Comments do not invade any intellectual property right, including without limitation copyright, patent, or trademark of any third party;
• The Comments do not contain any defamatory, libelous, offensive, indecent, or otherwise unlawful material, which is an invasion of privacy.
• The Comments will not be used to solicit or promote business or custom or present commercial activities or unlawful activity.

You hereby grant Digital Industria Ltd a non-exclusive license to use, reproduce, edit and authorize others to use, reproduce and edit any of your Comments in any and all forms, formats, or media.

Hyperlinking to our Content

The following organizations may link to our website or publicly available Service pages without prior written approval:

• Government agencies;
• Search engines;
• News organizations;
• Online directory distributors may link to our Website in the same manner as they hyperlink to the Websites of other listed businesses; and
• System-wide Accredited Businesses except soliciting non-profit organizations, charity shopping malls, and charity fundraising groups which may not hyperlink to our Website.

No use of Digital Industria Ltd's logo or other artwork will be allowed for linking absent a trademark license agreement.

We shall not be held responsible for any content that appears on your Website, app, or service. You agree to protect and defend us against all claims that are raised on your Website, app, or service. No link(s) should appear on any Website, app, or service that may be interpreted as libelous, obscene, or criminal, or which infringes, otherwise violates, or advocates the infringement or other violation of, any third party rights.

Reservation of Rights

We reserve the right to request that you remove all links or any particular link to our Website or Services. You approve to immediately remove all links to our Website or Services upon request. We also reserve the right to amend these terms and conditions and its linking policy at any time. Removal of links from our Services

If you find any link in our Services that is offensive for any reason, you are free to contact and inform us at any moment. We will consider requests to remove links, but we are not obligated to do so or to respond to you directly.

We do not ensure that the information in the Services is correct. We do not warrant its completeness or accuracy, nor do we promise to ensure that the Services remain available or that the material in the Services is kept up to date.

Artificial intelligence features

Some of the Services (for example, Happy Place and other Digital Industria Apps) include artificial intelligence (“AI”) features such as AI companions, chat, content generation, personalization, and related functionality. By using AI features, you agree to this section in addition to the rest of these Terms.

You must be at least 13 years of age to use AI features. If you are under the age of majority in your jurisdiction, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf.

AI companions and other AI outputs are machine-generated. They may be inaccurate, incomplete, biased, offensive, misleading, or otherwise unexpected, even where we employ technical and policy measures (including filters and other guardrails) intended to promote safer interactions. AI features are not human, do not form real relationships, and are not a substitute for professional medical, mental health, legal, financial, or other advice.

You are solely responsible for how you interpret and act on AI outputs. Do not rely on AI features for emergencies, crisis support, or decisions with significant personal, legal, financial, medical, or safety consequences. If you are in crisis or need urgent help, contact appropriate emergency or professional services in your area.

We use reasonable efforts to implement safety measures and guardrails, but no system is perfect. Bypass attempts, model failures, edge cases, and harmful or inappropriate content may still occur. We do not guarantee that AI interactions will be uninterrupted, safe, appropriate, or free from error or offensive material.

You must not use AI features to:

• Generate, solicit, upload, or share illegal content, including child sexual exploitation or abuse material;
• Engage in harassment, hate, threats, violence instruction, scams, malware distribution, doxxing, or other harmful activity;
• Attempt to circumvent, probe, or disable safety systems, filters, or other protective measures; or
• Input personal data about others without a lawful basis or required consent.

You are responsible for the companion prompts, personas, configurations, messages, and other inputs you create or submit. You hereby grant Digital Industria Ltd a non-exclusive, worldwide license to use, reproduce, process, transmit, and authorize our subprocessors (including third-party AI model and infrastructure providers) to use, reproduce, and process such content as needed to operate, secure, improve, and provide the Services and AI features.

AI features may depend on third-party model and infrastructure providers. Their availability, outages, rate limits, or policy changes may affect the Services. To the maximum extent permitted by applicable law, we are not liable for third-party model behavior, downtime, or outputs beyond what cannot be excluded under applicable law.

We may suspend, restrict, or terminate your access to AI features or the Services if we reasonably believe you have misused them, created a safety risk, or breached these Terms.

To the extent permitted by applicable law, you agree to indemnify and hold harmless Digital Industria Ltd and its officers, directors, employees, and agents from and against claims, damages, losses, and expenses (including reasonable legal fees) arising out of your misuse of AI features, your companion configurations or inputs, or your reliance on AI outputs.

To the maximum extent permitted by applicable law, and subject to the non-excludable liabilities described in the Disclaimer below, Digital Industria Ltd shall not be liable for any damages arising from AI-generated content, companion behavior, emotional distress from interactions with AI features, decisions made in reliance on AI outputs, or any failure, bypass, or limitation of safety systems or guardrails.

Disclaimer

To the maximum extent permitted by applicable law, we exclude all representations, warranties, and conditions relating to the Services (including AI features and AI-generated content) and the use of the Services. Nothing in this disclaimer will:

• Limit or exclude our or your liability for death or personal injury;
• Limit or exclude our or your liability for fraud or fraudulent misrepresentation;
• Limit any of our or your liabilities in any way that is not permitted under applicable law; or
• Exclude any of our or your liabilities that may not be excluded under applicable law.

The limitations and prohibitions of liability set in this Section and elsewhere in this disclaimer: (a) are subject to the preceding paragraph; and (b) govern all liabilities arising under the disclaimer, including liabilities arising in contract, in tort, and for breach of statutory duty, and including liabilities related to AI features and AI-generated content.

As long as the Services and the information and services provided through them (including AI features) are provided free of charge, we will not be liable for any loss or damage of any nature.
